Terms of Service

These terms govern your access to and use of DeliverySheet.

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of https://www.deliverysheet.com and any related services provided by DeliverySheet.

By accessing or using the service, you agree to be bound by these Terms.

2. Eligibility and Accounts

You must be legally able to enter into a binding agreement to use the service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Use of the Service

You may use the service only in compliance with these Terms and applicable law.

You may not misuse the service, interfere with its operation, attempt unauthorized access, reverse engineer restricted parts of the platform, or use it to transmit unlawful, harmful, or infringing content.

4. Customer Content

You retain ownership of the content, data, and materials you submit to the service.

You grant DeliverySheet a limited right to host, process, transmit, and display your content solely as needed to operate and improve the service.

5. Fees and Billing

DeliverySheet is a paid service, billed per workspace as a monthly subscription of $10 per month — a limited-time launch price; the regular price is $189 per month. Prices are tax-inclusive.

New subscriptions start with a 7-day free trial. A valid payment card is required to begin the trial. Unless you cancel before the trial ends, the subscription automatically converts to a paid subscription and the applicable monthly fee is charged.

You may cancel at any time. Cancellation takes effect in accordance with your billing period as processed by Stripe, our payment provider — access continues through the period already paid for, after which the workspace becomes read-only.

We may change our prices with reasonable advance notice. Continued use of the service after a price change takes effect constitutes acceptance of the updated pricing.

6. Early Access

The service is currently in early access. Features, limits, and availability may change at any time as we continue to develop the product.

Early access users will be notified before any material reduction in features or access takes effect. We may discontinue the service with reasonable notice, subject to applicable law.

7. Intellectual Property

The service, including software, branding, design, and related materials, is owned by DeliverySheet or its licensors and is protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from the service.

8. Third-Party Services

The service relies on the following third-party providers: Supabase (database and authentication), Google (OAuth sign-in), and Anthropic (AI processing). Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services.

9. Availability and Changes

We may modify, update, suspend, or discontinue parts of the service from time to time.

We do not guarantee that the service will always be uninterrupted, secure, or error-free.

10. Termination

You may stop using the service at any time.

We may suspend or terminate your access if you violate these Terms, create risk or harm, or where required for legal or security reasons.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities.

Our total liability arising out of or related to the service will not exceed the amount you paid us for the service during the twelve months before the claim, or one hundred euros if you have not paid us anything.

13. Indemnification

You agree to defend, indemnify, and hold harmless DeliverySheet from claims, liabilities, damages, losses, and expenses arising out of your use of the service, your content, or your violation of these Terms, to the extent permitted by law.

14. Governing Law

These Terms are governed by the laws of the Netherlands, excluding conflict of laws rules.

Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the service or by other reasonable means.

Your continued use of the service after the updated Terms take effect means you accept the updated Terms.
